**What You'll Contribute**
The Manager, Corporate Governance is responsible for assisting the corporate secretary relative to the operations of SLM Corporation and its subsidiaries, including Sallie Mae Bank. Responsibilities include but are not limited to: (i) coordinating the corporate secretary functions at SLM Corporation and Sallie Mae Bank; (ii) creating, managing and enhancing procedures related to matters handled by the office of the corporate secretary, and (iii) managing multiple company governance operations, including, subsidiary administration and maintenance, officer appointments. The Manager, Corporate Governance is a high visibility position. The incumbent will be responsible for driving the error-free creation of the materials noted herein, executing recurring controls and performing additional research to drive process enhancements and alignment within the Legal Department. Applicant will work closely with all levels of management within SLM Corporation and Sallie Mae Bank to provide a high level of professional service. Position will be based in Newark, Delaware. The incumbent must possess discipline, discretion and leadership skills and have the ability to work both autonomously and in a team environment. These skills and characteristics are a requirement to be successful in this role. They will be a motivated self-starter with a passion for digging into data and communicating noteworthy trends to senior management for use in corporate governance oversight and regulatory relations. They will be responsible not only for the reporting of the data (the "what"), but also determining what is driving the performance (the "why" and "how").
**What You'll Do**
**Corporate Secretary Functions**
+ Supports the corporate secretary and assistant secretaries in production and maintenance of SLM Corporation and Sallie Mae Bank board materials and records, including board and committee communications and minutes;
+ Conducting and overseeing corporate governance and other legal research and analysis provided by the corporate secretary and assistant secretaries, as well as the preparation of legal documentation, correspondence with clients and attorneys, and other materials
+ Supports the corporate secretary and assistant secretaries in planning board and committee meetings;
+ Leads company governance operations, including maintaining good standing, corporate record books, officer appointments, and licensing of all subsidiaries.
+ Creating, managing and enhancing procedures related to matters handled by the office of the corporate secretary
+ Assist with preparation and filing of annual certifications and other reports with NASDAQ; and
+ Involvement with all aspects of officer and director stock transactions, including preparation of Section 16 reports.
+ Overseeing projects and project teams and monitoring progress to ensure timely completion of tasks
+ Manage and maintain of CSC and CT databases and ensure annual filings are completed accurately and timely.
+ Maintain records of the corporation and all subsidiaries, authorizations and officer appointments and, in cooperation with HR, ensure compliance with banking regulations related to dual officer arrangements
+ Coordinate payment of corporate franchise taxes for all subsidiaries
+ Support Attorneys in research and ad-hoc analysis with new product support, including but not limited to, new vendor and contract reviews.
+ Complete the SOX Control and other risk and control processes on behalf of Legal.

**What you have**
Minimum education, skills and experience required.
+ Familiarity with relevant laws, regulations, and corporate governance codes, such as Sarbanes-Oxley Act, SEC rules, and stock exchange listing requirements.
+ Strong attention to detail and analytical skills, with the ability to analyze governance issues and assist in implementing practical solutions.
+ Excellent communication and interpersonal skills, with the ability to collaborate effectively with stakeholders at different levels of the organization.
+ Strong organizational and time management skills, with the ability to handle multiple tasks and meet deadlines in a fast-paced environment.
+ Proficiency in Microsoft Office Suite and familiarity with corporate governance software or systems is advantageous.
Preferred education, skills, and experience.
+ Bachelor's degree in business administration, finance, law, or a related field. Advanced degree or professional certifications in corporate governance or related disciplines are advantageous.
+ 5+ years of experience in corporate governance, compliance, legal, or a related role, with knowledge of corporate governance principles, regulations, and best practices.
