Description We are looking for an experienced Attorney/Lawyer to support technology-focused commercial legal work for a Contract position working remotely. This role centers on preparing, analyzing, and negotiating SaaS and related agreements while providing practical counsel on privacy, data protection, and contractual risk. The attorney will work independently in a remote environment and contribute clear, business-oriented legal guidance on complex technology transactions. Responsibilities: - Prepare, examine, and negotiate software-as-a-service contracts and other technology-related commercial agreements. - Assess privacy, confidentiality, and information security provisions to help align contract terms with legal and business expectations. - Advise stakeholders on key legal issues involving liability allocation, indemnity language, warranty terms, intellectual property rights, and risk exposure. - Support the review and drafting of software distribution and reseller arrangements when those matters arise. - Interpret legal obligations in technology contracts and recommend practical approaches to compliance and risk management. - Partner with internal business contacts to refine agreement language and move contract discussions forward efficiently. - Identify contractual concerns early and propose revisions that protect business interests while supporting commercial objectives. Requirements - Juris Doctor degree and an active license to practice law. - Demonstrated background handling SaaS agreements and technology contract negotiations. - Strong knowledge of data privacy, data protection, and related contractual provisions. - Experience drafting, redlining, and finalizing commercial legal agreements with minimal supervision. - Ability to provide clear, pragmatic legal advice on contract risk and compliance matters. - Familiarity with software licensing concepts and technology transaction structures. - Experience with software reseller agreements is preferred.
